TERMS AND CONDITIONS OF SALE AND USE (CGV/CGU)

1. LEGAL INFORMATION AND SCOPE OF APPLICATION
These General Terms and Conditions (hereinafter ” GTC “) govern the services offered by : Rent2Explore SARL Head office : 2 Avenue du Président Pierre Angot, 64000 Pau, France SIRET : 935 131 383 00017

VAT regulation :
- For the Part I (marketing and B2B contact with professional Service Providers located outside the European Union), VAT is localized outside France in accordance with article 259-1 of the CGI (B2B services).
- For the Part II (administrative facilitation and permit services)
(i) Rent2Explore acts as a transparent agent for the payment of official fees advanced in the name and on behalf of the Customer: these sums constitute disbursements excluded from the VAT base in accordance with article 267 II 2° of the CGI;
(ii) Rent2Explore additionally charges a Data Processing Fee (immaterial service) subject to French VAT for customers residing in the EU, and non-applicable VAT (place of customer outside the EU) for customers residing outside the EU, in accordance with article 259 B, 5° of the French General Tax Code, subject to elements making it possible to establish the Customer’s location.
Rent2Explore publishes and operates the rent2explore.com website and markets its services via the partner website ountravela.com (hereinafter jointly referred to as the “Site”).
These services fall into two categories:
- Matchmaking (Part I) Between customers and professional service providers (vehicle rental companies or guides) located outside the EU (hereinafter the “Service Providers”). Service Providers “).
- Administrative document management (Part II) Assistance in obtaining border permits or travel documents.
DISCLAIMER : Rent2Explore acts as an independent technical and marketing service provider.
- Rent2Explore is not a party to the final contract (rental or guiding) concluded directly between the Customer and the Service Provider.
- Rent2Explore is not a travel agency nor a carrier. Rent2Explore does not sell “tourist packages” combining several services (flight + hotel, etc.) as defined by the French Tourism Code.
- Rent2Explore does not guarantee the proper performance of the service by the Provider.
- The website ountravela.com is not responsible the execution of services sold by Rent2explore.
How the platform/site works : The offers presented on the site are classified by default according to their relevance to the customer’s search criteria (dates, type of vehicle, destination). Rent2Explore has no capital ties with any of the listed Service Providers that could influence this ranking.
Distinguishing publishing activities (OunTravela) : Guides, books and editorial content are sold by OunTravela / Explore Media and are subject to their own terms and conditions. The matchmaking and administrative facilitation services (permits) are provided by Rent2Explore and are governed by these Terms and Conditions.
Definitions :
- “Customer” any individual or legal entity using the Site to reserve a service or order a permit.
- “Provider” local professional (renter, guide, agency) offering his services via the Platform.
- “Platform / Site rent2explore.com and the partner site ountravela.com.
- “Service Fee / Booking Fee” sum paid to Rent2Explore as part of the Standard Model of Part I, remunerating the referral/marketing service and collected for Rent2Explore’s own account.
- “Mandate authorization given by the Customer to Rent2Explore to obtain administrative documents on his/her behalf.
- “Disbursements” official fees/taxes/local costs advanced in the name and on behalf of the Customer, rebilled on a euro-for-euro basis.
- “Data processing costs intangible services for data processing and supply of information related to the file (data collection/verification, file compilation, transmission to local service provider, progress monitoring and information on withdrawal/delivery).
PART I – REFERRAL SERVICES (RENTAL COMPANIES & GUIDES)
2. NATURE OF SERVICE AND FINANCIAL TERMS
Rent2Explore acts as a B2B marketing service provider. Terms and conditions vary depending on the offer:
- STANDARD MODEL: Payment of Service Fees to Rent2Explore
For the purposes of the commercial relationship between the Hirer and R2E, the Platform provides a technical payment tool enabling the Customer to execute the payment delegation agreed between the Hirer and R2E (payment of marketing costs owed by the Hirer to R2E).
The Customer acts solely as a third-party payer of these marketing costs: the payment made via the Platform constitutes neither a deposit, nor payment of the rental price, nor collection on behalf of the Hirer. The balance of the rental is paid directly to the Hirer in accordance with the terms set by him.
On the customer’s bank statement, the payment appears as “Rent2Explore”.
The total price paid (Service Fee + balance paid to the Service Provider) is strictly identical to the Service Provider’s direct rate.
- Booking fee (10% to 15%): The customer pays Rent2Explore a service fee at the time of booking.
- Legal nature : These fees cover exclusively the matchmaking and marketing services provided by Rent2Explore. They are collected by Rent2Explore for its own account and do not constitute a deposit held on behalf of the Service Provider. Under no circumstances do these Service Fees constitute a reduction or discount granted to the Customer by the Service Provider. The total rental price paid by the customer remains strictly identical to the Provider’s direct rate. These Service Fees are Rent2Explore’s own remuneration for its B2B marketing services. No part of these sums is paid to the Service Provider.
- Delegation : This payment does not affect the rental price set by the Service Provider. The Customer pays Rent2Explore the Marketing Service Fee directly, and pays the balance of the rental price to the Service Provider according to its terms and conditions. Payment by the Customer definitively extinguishes the Service Provider’s debt to Rent2Explore in respect of the marketing remuneration. Rent2Explore does not collect the rental price on behalf of the Renter; only the marketing costs are paid to Rent2Explore.
- Balance : The balance is to be paid directly to the Service Provider (on site or according to its conditions). Rent2Explore is not involved in this flow.
- Price guarantee Rent2Explore does not increase the rental price. The total price paid by the customer remains strictly identical to the direct rate charged by the Service Provider. The Service Fee is the Service Provider’s normal marketing charge and does not affect the final price paid by the Customer.
- VAT For these services (Part I), VAT is located outside France, in accordance with article 259-1 1° of the CGI (services supplied to a taxable customer established outside the European Union).
- Payment receipt : Rent2Explore can provide a receipt/certificate of payment of the Service Fee upon request. This document does not constitute an invoice for the rental or guiding service. The Local Service Provider is the sole issuer of the invoice for the main service, corresponding to 100% of the total price of the service paid by the Customer. (including the Service Fee paid to Rent2Explore and the balance paid directly to the Service Provider, in accordance with the terms and conditions).
- DIRECT MODEL : Full payment to the service provider
- For certain offers, the Customer pays 100% of the price directly to the Service Provider. Rent2Explore does not collect any money, and acts as a simple business introducer.
3. CANCELLATIONS AND REFUNDS (RENTAL COMPANIES & GUIDES)
Cancellation conditions are defined by the Service Provider.
- Refundable Cancellation: If the Customer cancels in due time (according to the Provider’s policy), Rent2Explore will refund the Reservation Fees collected.
- Late Cancellation (Non-refundable) : After the deadline, the Reservation Fee remains to Rent2Explore. As the referral service is fully executed upon confirmation, no refund is due.
- Cancellation by the Provider: In the event of cancellation by the Provider (force majeure, unavailability), Rent2Explore will refund the Reservation Fee to the Customer in full.
PART II – ADMINISTRATIVE MANDATE (PERMITS & DOCUMENTS)
4. MANDATE AND PAYMENT (PERMIT)
4.1 Constitution of the Mandate
By validating his/her order, the Customer expressly authorizes Rent2Explore to :
- Carry out, in its name and on its behalf, the administrative formalities required by the competent authorities or local agencies.
- Proceed in its name and on its behalf with the payment of the necessary official fees, taxes and local service costs (the “Disbursements”).
4.2 Price structure and invoicing
The total price paid by the Customer is made up of two distinct elements:
- A. Disbursements (not subject to VAT): This sum corresponds to the exact cost invoiced by the local service provider or the issuing authority. In accordance with article 267 II 2° of the French General Tax Code, these sums are advanced in the name and on behalf of the Customer and invoiced on a euro-for-euro basis, without margin and without VAT. Rent2Explore provides the customer with a statement of account and keeps the corresponding receipts.
- B. Data processing fees (subject to VAT): This fee covers the immaterial service of processing data and supplying information related to the permit file (data collection and verification, file compilation, transmission to local service provider, status monitoring).
Customers residing in France or the European Union: Charges are subject to French VAT at the prevailing rate (20%).
Customers residing outside the European Union: VAT not applicable (out of scope – place of customer outside the EU) in accordance with article 259 B, 5° of the CGI, subject to proof of residence outside the EU.
- Proof of location: the Customer accepts that Rent2Explore may keep the necessary information to establish his/her location (at least two concordant elements): billing address, declared country of residence, supporting documents provided for the request, payment information, etc.
- Rent2Explore may issue, at the Customer’s request, a summary invoice for the Permit distinguishing between Disbursements (not subject to VAT) and Data Processing Fees (subject to VAT).
The payment will appear on your bank statement as “Rent2Explore”.
4.3 Adjustment
The Customer accepts that the exact accounting breakdown between the “Disbursements” and “Expenses” portions may be adjusted when the final invoice is issued, according to fluctuations in exchange rates or official tariffs, as long as the Total Price agreed when the order was placed remains unchanged for the Customer. In all cases, the “Disbursements” portion reflects the exact amount invoiced by the local authority/provider (re-invoiced on a euro-for-euro basis, with no margin).
4.4 Waiver of right of withdrawal
In accordance with article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for contracts for the supply of services fully executed before the end of the withdrawal period, or for the supply of goods made to the consumer’s specifications (nominative documents). The customer expressly waives his right of withdrawal as soon as the order has been validated, so that the process can begin immediately.
5. LIABILITY AND ISSUANCE (PERMITS)
5.1 Obligation of means
Within the framework of this mandate, Rent2Explore is bound by an obligation of means. Rent2Explore undertakes to handle the case with diligence and to pass on to the authorities the information provided by the Customer.
5.2 Limitation of liability
Rent2Explore cannot be held responsible in the event of refusal, delay or error attributable exclusively to local or foreign authorities or to force majeure (border closures, sudden changes in regulations), provided that the file transmitted by Rent2Explore was in order. If Rent2Explore is not at fault for refusing to issue the order, the data processing fee will be retained as compensation for the work performed. Reimbursement of the “Disbursements” portion will be conditional on actual reimbursement by the local authority or service provider.
5.3 Customer data
The customer is solely responsible for the accuracy of the information provided (passport numbers, dates, spelling). Any new permit application necessitated by an error on the part of the customer will be invoiced in full.
5.4 Delay guarantee (commercial gesture)
In the event of processing delays attributable exclusively to the fault of Rent2Explore :
- +24h delay in relation to the announced deadline: 50% refund of the data processing fee.
- +72h delay: 100% refund of data processing costs. No other compensation may be claimed.
PART III – COMMON PROVISIONS
6. RIGHT OF WITHDRAWAL (EXCLUSION)
In accordance with article L.221-28 of the French Consumer Code, the right of withdrawal does not apply:
- To the Part I (Rental): For car rental services provided on a specific date.
- To the Part II (Permits): With regard to the supply of goods made to the consumer’s specifications (named documents) and services fully performed before the end of the withdrawal period, as specified in article 4.4.
7. LIMITATION OF LIABILITY
Rent2Explore acts solely as a technical intermediary (Part I) or service provider (Part II). Rent2Explore cannot be held responsible for :
- Poor performance of the contract by the local Service Provider (breakdown, accident, itinerary).
- Bodily injury or property damage occurring during the activity.
- Lack of valid travel documents (passport, visa, driver’s license).
Rent2Explore’s liability is strictly limited to the amount actually received by Rent2Explore for the service concerned (Service Fee or Data Processing Fee).
8. PERSONAL DATA AND BLOCTEL
Data is collected for the performance of the service. The Customer accepts their transfer to service providers outside the EUin accordance with art. 49.1.b of the RGPD. Telephone canvassing: In accordance with article L.223-2 of the French Consumer Code, the Customer is informed of his or her right to register on the “Bloctel” telephone canvassing opposition list (www.bloctel.gouv.fr).
Sensitive documents transmitted as part of an application (passports, identity scans, visas, etc.) are deleted within a maximum of 1 month of transmission, unless otherwise required by law. Our service providers/partners apply an equivalent conservation policy.
9. LEGAL OBLIGATIONS DAC7
Rent2Explore is a platform operator within the meaning of European Directive 2021/514 (“DAC7”).
In this respect, Rent2Explore is required to collect, verify and declare to the tax authorities information relating to the Service Providers using the Platform (identity, contact details, tax status, amounts received).
The Service Provider undertakes to provide all mandatory information at the time of registration and to keep it up to date.
In the event of non-transmission, inaccuracy or refusal to provide the required information, Rent2Explore may suspend or terminate the Provider’s access to the Platform.
The Customer acknowledges that these reporting obligations do not affect the nature of the contract between the Customer and the Service Provider.
10. APPLICABLE LAW AND MEDIATION
These GTC are governed by French law.
Mediation : In the event of an unresolved dispute, the consumer customer may refer the matter free of charge to the following consumer mediator: CM2C – https://www.cm2c.net/ . Failing amicable agreement, the courts of the jurisdiction of Pau (France) shall have exclusive jurisdiction.
